    Matt works in O'Hagan Meyer's Chicago office. Before joining OM, Matt worked for Potbelly's Sandwich Shop as Senior Vice President, Chief Legal Officer & Secretary, as well as Chief People Officer and Chief Compliance Officer, serving as a Member of Senior Leadership Team responsible for corporate governance, public company matters (including shareholder activism and proxy contests), government affairs, litigation, intellectual property, mergers & acquisitions, financings, franchising, compliance, ethics, employment disputes and vendor contracts. He managed a team of 10 (21 pre-pandemic) in Human Resources and Legal combined. He managed all legal aspects of the Potbelly IPO in 2013 and was Lead Executive on proposed sales of the company in 2007 and 2017 – 2018. He created the first franchising program for Potbelly and grew it to more than 40 franchise locations in the U.S., as well as international locations in the UK, the United Arab Emirates, Kuwait, Bahrain, Canada and India. He has led the company’s response to three shareholder activist campaigns and two proxy contests, resolved several Fair Labor Standards Act cases and worked with the Board of Directors to respond to a constantly changing, dynamic market and stockholder situations, and manage high-level growth of the company.

    In 2018, Matt was appointed Chief People Officer for Potbelly, with responsibility for all Human Resources matters, including culture, talent acquisition, payroll, field human resources and compensation & benefits. He successfully transformed company culture by analyzing processes to attract, grow and retain great talent. He developed programs and processes to positively impact employees’ lives and enhance Potbelly as a great place to work. In response to COVID-19, he quickly responded to furlough employees and restructure and close stores as needed.

    Prior to this, Matt was Vice President, General Counsel, Brunswick New Technologies, Inc. (BNT), and Deputy General Counsel for Brunswick Corporation, which develops, manufactures and markets a wide variety of products, including boating-lifestyle brands Mercury Marine, Sea Ray, Bayliner and Boston Whaler. He managed all legal matters for BNT, including mergers & acquisitions, contracts, litigation, license agreements, intellectual property and all other legal issues.

    Earlier in his career, Matt was Vice President, Associate General Counsel for True North Communications Inc.; Senior Counsel at Sears, Roebuck and Co.; Counsel at Waste Management, Inc.; and an Associate with Kirkland & Ellis.
